Terms of Service
1. Acceptance of Terms
By accessing or using the Meridias platform, you agree to be bound by these Terms of Service. You represent that you are entering into these terms on behalf of a business, and that you have the authority to bind that business to these terms. If you do not agree to these terms, you may not access or use the service.
2. Description of Service
Meridias provides infrastructure for evaluating and routing requests across third-party OCR and document AI providers, including proxy routing, hosted open-source model deployments, and automated migration tooling. The service is provided on an "as is" and "as available" basis and may change over time.
3. Beta Status
Meridias is under active development. Features, evaluation methodology, and routing behavior may change, be added, or be removed at any time without notice, and outputs from the service should not be treated as final or fully validated. The service is made available to early customers and design partners on this basis.
4. Accounts and API Credentials
You are responsible for maintaining the confidentiality of your account credentials and any API keys issued to you, and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account or credentials.
5. Acceptable Use
You agree not to use the service to violate any applicable law, infringe on the rights of others, circumvent rate limits or usage restrictions, or interfere with the operation of the platform or the systems of any provider accessed through it.
6. Third-Party AI Providers
When you route requests through Meridias, your content is transmitted to one or more third-party OCR and document AI providers selected by Meridias for processing. Meridias does not store your content; it is processed transiently to fulfill your request and is not retained on our systems beyond the time required to complete the request. The specific provider used for a given request may vary and is not guaranteed or disclosed. Meridias does not control, and is not responsible for, the availability, accuracy, or output of any third-party provider.
7. Service Availability
Except where a separate service level agreement has been executed, Meridias does not guarantee any level of uptime, availability, or response time. Neither party will be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including third-party provider outages, internet or infrastructure failures, or other events of force majeure.
8. Fees, Credits, and Payment
Paid plans are billed on a usage basis using credits, which cover evaluation, routing, and migration generation rather than individual API requests, on the billing cycle described at signup. Fees are described on our pricing page and may change with notice. You may cancel at any time; unused credits are forfeited on cancellation or termination unless otherwise agreed in writing. Except as required by law, fees are non-refundable.
9. Confidentiality
Each party agrees to protect the other's confidential information, including content submitted for processing, product feedback, and non-public information about the other's business or technology, using the same degree of care it uses for its own confidential information, and not to disclose it except as necessary to perform its obligations or as required by law. These obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party without a duty of confidentiality, or is independently developed without reference to the disclosing party's confidential information.
10. Feedback
If you provide suggestions, ideas, or other feedback about the service, you grant Meridias a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, without any obligation or compensation to you.
11. Intellectual Property
All rights, title, and interest in the Meridias platform, excluding content and data you submit, remain the exclusive property of Meridias Ltd. and its licensors.
12. Indemnification
You agree to defend and indemnify Meridias against any claims, losses, or damages arising from your misuse of the service, your violation of these terms, or content you submit through the platform.
13. Termination
We may suspend or terminate your access to the service at any time, with or without cause, including for conduct that we believe violates these terms or is harmful to other users or Meridias.
14. Disclaimers and Limitation of Liability
The service, and any output returned by third-party providers routed through it, is provided without warranties of any kind, express or implied. To the fullest extent permitted by law, Meridias's aggregate liability arising out of or relating to these terms will not exceed the amount you paid to Meridias in the twelve months preceding the claim, and Meridias will not be liable for any indirect, incidental, or consequential damages. Nothing in these terms limits or excludes either party's liability for death or personal injury caused by negligence, or for fraud.
15. Governing Law and Dispute Resolution
These terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles, regardless of your location. Any dispute arising out of or relating to these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Order of Precedence
If you have entered into a separate written agreement with Meridias, such as a pilot, design partner, or master services agreement, that expressly governs your use of the service, that agreement will take precedence over these terms to the extent of any conflict.
17. General Provisions
If any provision of these terms is found unenforceable, the remaining provisions will continue in full effect. Sections 9 (Confidentiality), 11 (Intellectual Property), 12 (Indemnification), and 14 (Disclaimers and Limitation of Liability) survive termination of these terms, along with any payment obligations accrued before termination. These terms, together with any documents they expressly incorporate, constitute the entire agreement between you and Meridias regarding the service. You may not assign these terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of our right to do so later.
18. Changes to These Terms
We may update these terms from time to time. Continued use of the service after changes take effect constitutes acceptance of the revised terms.
